By completing checkout, you agree to the following:
Licenses
Subject to the terms and conditions of this Agreement, Vendor grants to Card Party the right to use Vendor's trademarks, trade names, and logo designs and company descriptions as prepared and delivered to Card Party by Vendor (“Vendor Materials”), in any medium of advertising, marketing materials and/or promotional goods distributed solely in conjunction with the Event and in accordance with Vendor's trademark usage guidelines and only until the Event is completed. Vendor may use the Event name before and during the Event solely to promote its participation and solely in compliance with such guidelines as are provided by Card Party from time to time. Prior to any use of the Vendor Material, Card Party shall seek the prior written consent of Vendor, which consent shall not be unreasonably withheld.
Consent
The Vendor acknowledges that representatives participating in the Event may be photographed, and that proceedings of the Event may be recorded. The Vendor authorizes Card Party to display, distribute, redistribute, record, transcribe, modify, reproduce, publicly perform and transmit in any form (and for any purpose) any such photograph or recording of the Event.
Legal Compliance
Vendors and Card Party must comply with all applicable laws, regulations and ordinances in connection with its participation in the Event, including but not limited to rules of the Event Facility. Vendor and Card Party may not violate any proprietary rights of third parties in connection with its participation in the Event, including but not limited to the performance, distribution or posting of copyrighted or trademarked material without a license, assignment or other legally effective permission.
Termination of Vendorship Agreement
Vendors may terminate the Vendorship Agreement and receive a refund of the Vendorship payments only in the case of material breach of the Agreement by Card Party prior to occurrence of the Event, which breach is not cured within 30 days following written notice of the breach. Card Party may terminate a Vendorship Agreement only in the case of material breach of the Vendorship Agreement by the Vendor, which is not cured within 30 days following written notice of the breach.
Early Move-Out
Early move out by exhibitors and Vendors with on-site activations is not allowed at Event, unless an exception is provided by Card Party in writing. Empties and pallets will not be distributed before the show is officially closed. An exhibitor who moves out before the end of the show will be considered to have abandoned their booth and will incur a penalty.
Indemnification
Card Party will indemnify, defend and hold Vendor and its parents, affiliates, and the respective officers, directors, members and employees of such parties (collectively, “Vendor Indemnitees”) harmless from and against any and all claims, demands, suits, liabilities or expenses (including attorneys’ fees, expenses and court costs incurred by or on behalf of Vendor Indemnitees) arising out of or in connection with (i) the production of the Event by Card Party, its employees, agents, contractors, artists or participants; (ii) any acts or omissions of Card Party or its officers, directors, employees, agents, contractors, performers or participants (iii) the breach, by Card Party, of Card Party’s obligations hereunder or (iv) the use of Card Party materials and/or Card Party’s proprietary marks by Vendor as approved by Card Party. The indemnity and defense required by this section shall be provided regardless of whether the claim, demand, suit, liability or expense is based in in part on the actual or alleged negligence of Vendor Indemnitees, whether active, passive, simple or gross. Card Party shall not be obligated to defend or indemnify Vendor Indemnitees for claims, demands, suits, liabilities or expenses that arise out of the sole negligence of Vendor Indemnitees. The indemnification provisions contained throughout this Agreement shall survive the termination of this Agreement.
Event Passes
If Vendorship includes a set number of passes to Event for Vendor representatives as a part of the Vendorship Agreement, any Vendor representatives who are also participating as Event speakers or panelists will count towards the included Vendor passes. For example, if Vendor receives two complimentary passes as a part of their Agreement, and two Vendor representatives are taking part in talks or panels, these two representatives will count towards the included passes, and are not in addition to those included passes.
Suitcasing & Outboarding
Suitcasing is when a company registers as an attendee instead of a Vendor, and then proceeds to hand out flyers, distribute printed material, etc other than business cards - vying for partner presence without formally becoming a partner. Suitcasing thus diminishes the value of official partners, and is deceitful and confusing for attendees.
Any attendee who is observed to be soliciting business in the aisles or other public spaces, or in another company’s booth, will be asked to leave immediately by Card Party.
Outboarding is when a company that should or could have partnered as an official party or event Vendor chooses instead to host their own competing event, without the consent of the event Card Party. This steals attention away from the official event and the official partners associated with it. Outboarders often use the official event branding in association with their competing event, confusing attendees and deceiving them into thinking that they are supporting the official event, when in reality they are not.
Suitcasing and Outboarding are strictly prohibited by Card Party. This includes hosting on-site or off-site parties or events that conflict with officially scheduled Event functions. This also includes hosting off-site parties or events at locations that will be hosting subsequent official events without prior Card Party approval.
All instances of either Suitcasing and/or Outboarding without prior consent of Card Party will result in name badges being rescinded to protect our official partners and officially organized schedule of events. Card Party has the right to suspend future partnerships with the offending company for a period of up to 12 calendar months. Repeat offenses will result in additional penalties.
If you are interested in booking an event, either as an official partner or simply to avoid Outboarding, please contact the Card Party to help with scheduling and placement. If you are unsure if one of your planned events interferes or conflicts with a scheduled PM event, please contact the Card Party for clarification.
Insurance
The insurance requirements described in this Section are independent of any indemnity obligations described elsewhere in this Agreement, and Card Party’s failure to comply with such requirements shall be deemed a material breach of this Agreement.
Card Party shall pay for, at its sole cost, and maintain a policy of commercial general liability insurance including coverage for bodily injury and death, completed operations, personal injury liability, assault and battery, liquor liability (if alcohol served at Event), pyrotechnics (if pyrotechnics used at Event) with limits of liability of at least $2,000,000.00 per occurrence and $2,000,000 in the aggregate which shall insure Card Party’s activities in connection with the Promotion.
Limitation of Liability
Neither Card Party nor a Vendor will be liable in any manner for failure or delay of fulfillment of all or part of such party’s obligations under a Vendorship Agreement owing to any causes or circumstances beyond its reasonable control, including, without limitation, acts of God, pandemic, government orders, war, acts of terrorism, strikes, lockouts, fires and floods (each a “Force Majeure Event”). If the Event is cancelled because of a Force Majeure Event, Card Party will refund to a Vendor the Vendorship payments previously remitted to Card Party to the extent that Card Party has not expended such payments in connection with the planning of the Event or is able to recover such payments from the Facility and other vendors. EXCEPT FOR Card Party’S INDEMNIFICATION OBLIGATIONS, UNDER NO CIRCUMSTANCES WILL Card Party BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOST INCOME OR PROFITS.
No Warranty
Card Party makes no representations or warranties of any kind, express or implied, regarding the Event, the number of persons who will attend the Event, or the benefits that will accrue to a Vendor from its Vendorship. Details of the Event are subject to change, and a Vendor will be notified in advance of any change directly affecting the Vendor.
Governing Law and Jurisdiction
Vendorship Agreements will be governed by, construed and enforced in accordance with the internal laws of the State of Texas, without regard to conflict of law provisions. All claims or disputes arising from or in connection with a Vendorship Agreement, or as a result of the relationship created by it, will be adjudicated only by the state or federal courts sitting in Dallas, Texas.
